USER CONTENT AGREEMENT
We at New Era Cap Company Limited (collectively with its parent company and any affiliated entities, including, but not limited to, New Era Cap, LLC, ’47 Brand, LLC, and any related subsidiaries and affiliates, “New Era”) love your post and know others will benefit from seeing it on our website, social media channels, in store digital displays and other platforms. If you want to give New Era permission to use your post and its contents, please reply to our request with the hashtag #NewEraOk. By replying with the hashtag #NewEraOk, you acknowledge and give your consent for New Era to re-post, re-share and/or re-gram, display, or otherwise use the image, video or post on our website, social media pages, in store digital displays, and in any other medium now known or later developed. You further acknowledge and give your consent for your profile and post information (photo, name, social handle, caption/description) to be used and displayed in the same way. By replying with the hashtag #NewEraOk, you also confirm that you are at least 18 years old.
By releasing the content, it may automatically appear on our social media channels, website, in store digital displays, or other platforms. You agree that your profile picture and profile name may appear next to your content on these channels. By providing your permission, you represent and warrant that you own the content and that you have obtained all necessary rights, permissions, and consents from any identifiable third-party individuals appearing in the content, and that no other entities have ownership claims over it.
You grant New Era a non-exclusive, worldwide, transferable, royalty free, irrevocable right and licence to use, copy, reproduce, display, distribute, publish, transmit, modify, adapt, and create derivative works from the content in any form (including, but not limited to, video, internet posting, reproduction, display, email, publication, in-store digital display, and distribution), either through our own services or through services provided by third parties, throughout the world, in any medium now known or later developed and without restriction or limitation. You agree that your content may be used by New Era either alone or in conjunction with sketches, cartoons, captions, films, artwork, text, or other photographs or materials.
New Era reserves the right not to use or to remove the content at any time. While we will use our reasonable endeavors to give you credit for your content and provide a link back to your Facebook, Instagram or Twitter account when applicable, you agree that such credit is not mandatory and that your permission for New Era to use your content is not contingent upon such credit being given.
If you delete the content on the original platform of posting, we will endeavor to delete them from our social media channels if the two platforms are linked, subject to a reasonable delay for technical reasons. If we have used the content on other, unlinked channels such as our website, in-store digital displays, or other media you can contact us at customer.care@neweracap.com if you no longer want that content to be used and we will remove it within a reasonable period.
You waive any right to inspect and/or approve the finished work incorporating the content or any accompanying advertising copy or materials, or to control the use to which such finished work may be applied. You further waive any claims to royalties or other compensation with respect to your content or New Era’s finished work.
If any provision, or portion of any provision, contained herein is determined to be invalid under any statute or regulation, then it shall, to that extent alone, be deemed omitted, and the remainder of this Content Use Agreement shall remain in full force and effect. This Content Use Agreement shall be governed by the laws of the country in which you are resident and the jurisdiction of your local courts.
